1. Introduction

Welcome to Kolitech Global (“Company”, “we”, “our”, or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our services, including web design, SEO, AI automation, digital marketing, hosting, and related offerings (collectively, the “Services”).

By engaging our Services, visiting our website, or making a payment, you agree to these Terms. If you do not agree, you must discontinue use of our Services immediately.

1. Scope of Services

Kolitech Global provides subscription-based services such as affordable web design, SEO, AI automation, and digital marketing. Services may include free initial website design, hosting, SSL, and ongoing support as outlined in your selected plan.

We reserve the right to modify, improve, or discontinue Services at our sole discretion.

2. Subscriptions, Payments, and Pricing

  • All Services are provided on a subscription basis, billed monthly or annually.
  • Payments must be made in advance to keep Services active.
  • Failure to renew or complete payment may result in suspension or restriction of Service or Resource Access (e.g., hosting, website, email, or analytics).
  • All prices are as of the date of this publication and subject to change. Active subscribers will be notified before adjustments take effect.
  • Upgrades may be requested at any time and take effect immediately.
  • Downgrades are not permitted.

3. Refunds and Cancellation

  • All payments are final and non-refundable.
  • Due to the nature of digital and creative services, once a subscription period begins, no refunds will be issued under any circumstances.
  • Clients may cancel their subscription at any time; however, cancellation does not entitle the client to any refund, credit, or ownership of design files.
  • In cases of payment default, Service or Resource Access may be suspended or restricted until payment is resolved.

4. Fair Use Policy

Some Services, including the Pro Web Design Package, include “unlimited” features (pages, products, scalability). These are provided under a Fair Use Policy:

  • “Unlimited” refers to standard enterprise-level use within reasonable operational needs.
  • Excessive consumption of server resources, storage, bandwidth, or support hours may be deemed unfair use.
  • Kolitech Global reserves the right to limit resource usage or recommend migration to a custom Enterprise Plan tailored for businesses requiring resources beyond Fair Use.

5. Domains

  • A free .com.ng domain is provided for the first year of subscription.
  • Renewal thereafter is billed at ₦10,000 annually.
  • Other domains (.com, .net, .org, .ng, etc.) are available at ₦20,000–₦30,000 annually, depending on extension and market rates.
  • All domain prices are subject to market fluctuations and may change.

6. Intellectual Property and Ownership

  • Website designs, code, frameworks, templates, AI integrations, and digital assets created by Kolitech Global remain our intellectual property unless a written transfer agreement is executed.
  • Clients are granted a limited, non-exclusive license to use the website and Services during their active subscription.
  • Because website design is provided free as part of the subscription, clients are not entitled to source code, raw design files, or frameworks if they cancel or terminate.
  • Unauthorized copying, resale, or redistribution of our work is prohibited.

7. Client Responsibilities

Clients agree to:

  • Provide accurate and up-to-date business information, logos, and content.
  • Ensure that all submitted content (text, images, video, trademarks) does not infringe on third-party rights.
  • Use Services only for lawful purposes and not for spam, fraud, or illegal activity.
  • Maintain backups of any personal data outside of our hosting environment.

8. Service Availability and Maintenance

  • We strive for high availability but cannot guarantee Services will be uninterrupted or error-free.
  • Scheduled maintenance, security updates, or upgrades may cause temporary downtime.
  • Non-payment, policy violations, or abusive use of Services may result in suspension or termination.
  • Security monitoring, SSL certificates, and backups are provided as part of ongoing subscription.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Kolitech Global is not liable for indirect, incidental, or consequential damages, including lost revenue, data, or business opportunities.
  • We are not responsible for downtime, delays, or third-party actions beyond our control.
  • Errors or omissions in client-provided content remain the client’s responsibility.
  • Total liability for any claim is limited to the amount paid by the client for the Service in dispute.

10. Indemnification

Clients agree to indemnify and hold harmless Kolitech Global, its affiliates, employees, and partners from any claims, damages, liabilities, or expenses arising from:

  • Misuse of the Services,
  • Violation of these Terms,
  • Infringement of third-party rights.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall first be resolved amicably; failing that, they are subject to the jurisdiction of courts in Anambra State, Nigeria.

12. Updates to Terms

Kolitech Global reserves the right to update these Terms at any time. Updates will be posted on our website with the “Last Updated” date revised. Continued use of Services constitutes acceptance of revised Terms.
